Terms of Service

1. Dealer-Only Eligibility

DLR2DLR is intended only for licensed automobile dealers and approved business users. By applying for access or using the platform, you represent that you are legally authorized to act on behalf of the dealership or business you identify, that the information you provide is accurate, and that you will maintain all licenses, registrations, insurance, and legal authority required to buy, sell, advertise, or transfer vehicles.

DLR2DLR may request dealer license information, business information, identity verification details, AuctionACCESS information, or other materials to evaluate access. Submission of an application does not guarantee approval.

2. Account Approval and Access

DLR2DLR reserves the right to approve, deny, suspend, restrict, or terminate access to the platform at any time, with or without notice, including if DLR2DLR believes that a user has provided inaccurate information, violated these Terms, created a risk to other dealers, misused the platform, or failed to meet dealer eligibility requirements.

Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. Accounts may not be shared, sold, transferred, or assigned without written permission from DLR2DLR.

3. Dealer Responsibilities

Each dealer is solely responsible for its own listings, communications, negotiations, inspections, vehicle condition disclosures, pricing, taxes, fees, lien status, title verification, odometer disclosures, payments, transportation, delivery, paperwork, legal compliance, and completion of any transaction.

DLR2DLR does not verify every listing, inspect vehicles, guarantee title, guarantee payment, guarantee vehicle condition, or guarantee that any dealer will complete a transaction.

4. Vehicle Listings and Dealer Content

Dealers are responsible for ensuring that all listing information is accurate, complete, current, and not misleading. This includes, but is not limited to, vehicle year, make, model, trim, VIN, mileage, condition, title status, lien status, location, price, photos, disclosures, and availability.

By submitting listings, photos, dealership information, logos, text, reviews, messages, or other content to DLR2DLR, you grant DLR2DLR a non-exclusive, royalty-free license to host, display, reproduce, distribute, modify for formatting, and use that content for operation, promotion, security, recordkeeping, and improvement of the platform.

DLR2DLR may remove, edit, hide, or reject any listing or content that it believes is inaccurate, misleading, unlawful, outdated, inappropriate, or inconsistent with the purpose of the platform.

5. No Transaction Guarantee

DLR2DLR provides a platform for dealers to connect. DLR2DLR does not guarantee that any vehicle will sell, that any buyer will purchase, that any seller will deliver, that any payment will clear, that title will transfer, or that any transaction will be completed successfully.

All agreements between dealers are solely between the participating dealers. DLR2DLR is not responsible for disputes, losses, failed transactions, misrepresentations, payment issues, title defects, transportation problems, inspection results, or other transaction-related matters.

6. Inspections, Title, Liens, and Condition

Dealers are expected to conduct their own due diligence before entering into or completing any transaction. This may include vehicle inspection, title review, lien verification, vehicle history review, floorplan payoff confirmation, odometer verification, damage disclosure review, and confirmation of the seller's authority to sell.

DLR2DLR does not provide legal, title, lien, inspection, transportation, escrow, financing, or compliance services.

7. Payments, Taxes, and Fees

Unless expressly stated in writing by DLR2DLR, all payments, deposits, taxes, title fees, transportation fees, inspection fees, floorplan payoffs, dealer fees, and other transaction expenses are handled directly between the dealers or their chosen third-party providers.

Each dealer is responsible for determining and paying any taxes, fees, or charges applicable to its own transactions.

8. Third-Party Services and Links

DLR2DLR may reference or link to third-party services, including verification providers, vehicle history providers, inspection providers, transportation providers, lenders, floorplan companies, payment providers, title services, or partner resources.

DLR2DLR does not control and is not responsible for third-party services, websites, pricing, availability, accuracy, acts, omissions, or terms. Use of third-party services is at the dealer's own risk and may be subject to separate terms and conditions.

9. Prohibited Conduct

Users may not use DLR2DLR to:

• Submit false, misleading, fraudulent, or incomplete information.
• List vehicles they do not have authority to sell.
• Misrepresent title status, lien status, mileage, vehicle condition, damage history, location, price, or availability.
• Upload unlawful, infringing, deceptive, offensive, or malicious content.
• Attempt to bypass dealer verification or access controls.
• Share login credentials with unauthorized users.
• Scrape, copy, harvest, or misuse platform data.
• Interfere with the security or operation of the website.
• Harass, threaten, defame, spam, or abuse other users.
• Use the platform for any unlawful, deceptive, or non-dealer purpose.

10. Reviews, Ratings, and Feedback

If DLR2DLR offers reviews, ratings, feedback, or reputation features, users must provide honest and accurate feedback based on genuine interactions. Users may not submit fake reviews, manipulate ratings, offer compensation for positive reviews, retaliate through false reviews, or submit feedback intended to mislead other users.

DLR2DLR may moderate, remove, or restrict reviews or feedback that it believes are fake, misleading, abusive, irrelevant, or otherwise improper.

11. Platform Availability and Changes

DLR2DLR may modify, suspend, discontinue, update, or restrict any part of the platform at any time. DLR2DLR does not guarantee uninterrupted access, error-free operation, continuous availability, or that all features will remain available.

DLR2DLR may also update listing features, account requirements, dealer verification standards, communication tools, subscription plans, pricing, or platform policies from time to time.

12. Communications

By using DLR2DLR, applying for access, creating an account, submitting a listing, or contacting another dealer, you agree that DLR2DLR may send you administrative, transactional, account-related, security-related, and service-related communications.

Marketing emails, promotional messages, saved-search alerts, SMS alerts, or other optional communications may require additional consent and may include opt-out instructions where required by law.

13. Privacy

DLR2DLR's collection and use of personal information, business information, dealer information, uploaded documents, and website activity is governed by the DLR2DLR Privacy Policy. By using the platform, you agree to the collection and use of information as described in the Privacy Policy.

14. Intellectual Property

The DLR2DLR name, logo, website design, text, graphics, software, platform structure, branding, and related materials are owned by or licensed to DLR2DLR and may not be copied, modified, distributed, or used without written permission.

Users retain ownership of their own dealership content and vehicle listing content, subject to the license granted to DLR2DLR for platform operation and promotion.

15. Disclaimer of Warranties

DLR2DLR is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, DLR2DLR disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

DLR2DLR does not warrant that the platform, listings, dealer information, communications, or third-party services will be accurate, complete, current, secure, uninterrupted, or error-free.

16. Limitation of Liability

To the fullest extent permitted by law, DLR2DLR and its owners, officers, employees, contractors, affiliates, service providers, and partners will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising out of or related to use of the platform, dealer transactions, listings, communications, disputes, third-party services, vehicle condition, title issues, payment issues, transportation issues, or inability to access the platform.

To the fullest extent permitted by law, DLR2DLR's total liability for any claim arising out of or related to the platform will not exceed the amount paid by the user to DLR2DLR for use of the platform during the three months before the event giving rise to the claim, or one hundred dollars if no amount was paid.

17. Indemnification

You agree to defend, indemnify, and hold harmless DLR2DLR and its owners, officers, employees, contractors, affiliates, service providers, and partners from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the platform, your listings, your content, your transactions, your communications, your violation of these Terms, your violation of law, or your dispute with another dealer or third party.

18. Suspension and Termination

DLR2DLR may suspend or terminate any account, listing, access, or feature at any time if DLR2DLR believes that continued access may create legal, financial, reputational, operational, or security risk, or if a user violates these Terms.

Upon termination, the user must stop using the platform. Sections relating to dealer responsibilities, transaction disclaimers, intellectual property, warranties, liability, indemnification, disputes, and other provisions that by their nature should survive will continue to apply.

19. Governing Law and Venue

These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the platform will be brought in the state or federal courts located in [Insert County and State], unless another dispute resolution process is required by applicable law or added by written agreement.

DLR2DLR may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Continued use of the platform after updated Terms are posted means you accept the updated Terms.

22. MarketCheck-Sourced Inventory Data

DLR2DLR may make vehicle, dealer, and related marketplace information available through third-party data providers, including MarketCheck. Such information may be used to support inventory search, listing display, dealer-to-dealer discovery, and related platform functionality.

Third-party-sourced information may be cached, refreshed, modified, delayed, incomplete, unavailable, or inaccurate. Its display does not mean that the identified dealer created an account with DLR2DLR, posted the vehicle directly to DLR2DLR, entered into an agreement with DLR2DLR, or endorsed any transaction.

DLR2DLR does not guarantee the accuracy, availability, status, price, condition, ownership, authority to sell, or continued availability of any third-party-sourced vehicle or dealer information. Dealers remain responsible for independent due diligence and for complying with these Terms, including the restrictions against scraping, copying, harvesting, or misusing platform data.
